These Terms of Service ("Terms") govern your use of the StayRate website (stayrate.io) and the revenue management services provided by StayRate LLC ("StayRate," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

1. Services Overview

StayRate provides done-for-you revenue management for short-term rental properties in Colorado. Our services include dynamic pricing optimization, market analysis, listing performance reviews, and ongoing rate adjustments across booking platforms such as Airbnb and VRBO. The specific scope of services is outlined in any service agreement or onboarding communication between you and StayRate.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use our services. By engaging StayRate, you represent that you are the property owner or have authorization from the property owner to manage pricing and listing details.

3. Account and Access

To receive our services, you may need to provide us with access to your booking platform accounts (e.g., Airbnb, VRBO) and pricing tools. You are responsible for maintaining the security of your account credentials. You agree to notify us promptly if you become aware of any unauthorized access to your accounts.

4. Pricing and Payment

  • Service fees are outlined in your service agreement or as communicated during onboarding.
  • Payments are processed through Stripe. By providing payment information, you authorize StayRate to charge the applicable fees on a recurring basis as agreed.
  • All fees are in U.S. dollars unless otherwise stated.
  • If a payment fails, we will notify you and may suspend services until the balance is resolved.

5. Cancellation and Refunds

  • You may cancel your subscription at any time by contacting us at Michael@stayrate.io or by phone at (720) 546-8281.
  • Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods unless otherwise agreed in writing.
  • Upon cancellation, we will revert any active pricing tools or integrations to a neutral state and remove our access to your accounts within a reasonable timeframe.

6. Your Responsibilities

  • Provide accurate and complete information about your properties, listings, and booking accounts.
  • Maintain valid access credentials for any platforms we manage on your behalf.
  • Promptly communicate any changes to your property status, availability, or pricing constraints.
  • Comply with the terms of service of any third-party platforms (Airbnb, VRBO, etc.) on which your listings appear.

7. No Guaranteed Results

While we use data-driven strategies to optimize your rental revenue, we do not guarantee specific revenue outcomes, occupancy rates, or booking volumes. Short-term rental performance depends on market conditions, seasonality, property quality, guest reviews, platform algorithms, and other factors outside our control. Past performance and case studies are not guarantees of future results.

8. Intellectual Property

All content on stayrate.io, including text, graphics, logos, images, and software, is the property of StayRate LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

9. Limitation of Liability

To the fullest extent permitted by law:

  • StayRate is not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or website.
  • Our total liability for any claim related to our services will not exceed the total fees you paid to StayRate in the 3 months preceding the claim.
  • We are not responsible for losses caused by third-party platform outages, algorithm changes, account suspensions, or actions taken by booking platforms.

10. Indemnification

You agree to indemnify and hold harmless StayRate LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, your use of our services, or any dispute between you and a third party (including guests, booking platforms, or property management companies).

11. Third-Party Platforms

Our services involve interaction with third-party platforms (Airbnb, VRBO, PriceLabs, etc.). We are not affiliated with, endorsed by, or responsible for the actions, policies, or availability of these platforms. Changes made by these platforms may affect our ability to deliver services, and we will not be held liable for disruptions caused by third-party platform changes.

12. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising from these Terms or our services will be resolved in the state or federal courts located in Colorado.

14. Changes to These Terms

We reserve the right to update these Terms at any time. When we make changes, we will update the "Last updated" date above. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active subscribers.
